Terms and conditions

1.1 The following terms and conditions apply to all business relationships between the customer and Quanto SRL, following named as ìusî. The governing law is that which was valid when the contract was put into effect.

1.2 Dissenting, conflicting or additional customer terms and conditions, even if acknowledged, are not part of the contract unless their validity is expressly agreed upon.

1.3 The various top-level domains (ìdomain suffixesî) are administered by a multitude of different, mostly national, organisations.

 

2. Conclusion of the contract

2.1 Our offers are subject to change. We reserve the right to make technical and other changes within reason.

2.2 Upon ordering, the customer is bound to the tentative offer. We will confirm the receipt of the customer’s order immediately. The confirmation is not contractually binding. The confirmation and acceptance of the contract may be incorporated together.

2.3 We are entitled to accept the offer of a contract (the order) within a period of 5 working days after receipt. We are also entitled to reject the order after examining the reliability of the customer.

3. Scope of services

3.1 As far as the subject of the contractual relationship is concerned regarding the registration of domain names, we conduct the procurement of the desired domain only. For the actual allocation of the domain name, the customer can only expect it if this is confirmed by us. We do not have any influence over the allocation of the domain. A liability and warranty for the actual allocation of ordered domain names is therefore excluded.

3.2 We guarantee an annual average of 99% network availability for the infrastructure of our computer center. If the security of the power supply network or the maintenance of network integrity is in jeopardy, we can temporarily restrict access to the service as required.

3.3 The services offered are those valid at the time of the order based on the offer information, the order form and the applicable monthly special offers.

3.4 If the customer wishes to be registered with search engines (online search engines of Internet content), we are only responsible for mediation. The operators of the search engines are solely responsible for the date and time of the admission to the search engine.

3.5 Technical limitations are regulated by the System Policies.

3.6 Technical support services are not included in the offers. If needed or desired the user will be charged separately. The effective prices are available at any time at http://www.quanto.ro .

4. Data integrity

4.1 Where data is transmitted to us, the customer is to back up their data regularly. The server will be backed up regularly by us when this is part of the offer. In the case of data loss, the customer must transfer the respective databases to us again free of charge.

4.2 The customer is obliged to carry out a complete data backup before any changes are made.

4.3 The customer will receive an user ID and password for security purposes. This must be kept confidential. The client will be held liable for any malpractice resulting from the unauthorized use of the password. If the customer becomes aware that unauthorized third parties know the password, they have to inform us without delay. If the customer is at fault for third-party password abuse, the customer will be liable for all user fees and damages. In suspicious cases the client is able to request a new password, which we then send on to the clients.

5. Privacy

5.1 Personal data of customers will only be collected and used, if they are required for the creation, content arrangement or modification of the contractual relationship. The client is obligated to update these data in its online administrations area.

5.2 The clientís Email address will only be used for information on orders, for invoices and ñ provided that the client does not object ñ for customer care as well as for our newsletter, if the client so wishes.

5.3 We do not give any personal client information to third parties, with the exception of our service partners as far as they are required to determine the remuneration and settlement with the customer.

5.4 The client has the right to information and a right to amend, to suspend or to delete his saved information. If deletion conflicts with a legal or contractual duty to save information, or other legal grounds, the information will be made inaccessible.

6. Published Content

6.1 It is the customer’s responsibility to identify the Internet content as their own or as third-party content. The customer’s full name and address must be present. Further obligations may result from the provisions of the Telecommunications Act and Teleservices Act. The customer is obliged to examine these provisions and to comply with them.

6.2 The client undertakes not to publish content that may violate the rights of third parties or otherwise violate the law. The placement of erotic, pornographic, extremist material or material not deemed in good taste is not permitted. We are entitled to block access to the account of any customer who violates this.

The same applies in the event that the customer publishes content which is capable of violating the rights of individuals or groups of people, or that insults or denigrates these people. This applies even without an actual legal claim. We are not obligated to review our customers’ content.

6.3 The sending of spam mail is forbidden. This includes in particular the sending of illegal, unsolicited advertising to third parties. With regards to the sending of Emails, it is forbidden to provide false sender information or to conceal the identity of the sender by other means. We are entitled to block the access if it is not respected.

7. Liability

7.1 For direct damages, secondary damages or lost profits due to technical problems and disturbances within the Internet that are not in our sphere of influence, we assume no liability.

7.2 With regards to contractors, we are not liable for minor negligence of contractual obligations. This does not apply to all cases of personal injury and is in accordance with the product liability law.

For indirect damages and loss of profits, we are liable only in cases of intentional or gross negligence. In this case we are liable only for the contract-typical predictable damage, a maximum of 100% of the annually fee.

7.3 If the customerís web content is in violation of paragraph 6 of obligations, particularly in violation of legal prohibitions or morality, they shall be liable to us for all of the resulting direct and indirect damages, including property damage.

In addition, the customer agrees to free us from all claims by third parties ñ no matter which kind ñ that may result from illegal internet content. The exemption obligation includes liability for all legal defence costs (e.g. court and attorneys’ fees).

8. Terms of payment

8.1 The current valid prices are accessible at any time at http://www.quanto.ro.

8.2 Depending on the contractual agreement, a monthly, quarterly or annual account will be issued. Monthly payments are conducted solely by issuing a debit authorization. All other payments are carried out through issuing an invoice. Payment is due immediately upon receiving the invoice.

8.3 We are entitled without warning to deduct default interest on all overdue payments as indicated on the invoices.

If the client is a consumer/end-user, the amount of interest charged will be 5 percentage points above the base rate. If the client is a contractor/business, the interest charged will be 8 percentage points above the base rate.

8.4 We are also entitled, in case of default payments, to block the internet presence of the customer and to block all other functions.

8.5 The acceptance of checks is only for processing.

8.6 Invoices are sent by Email as attachments, on request with qualified signature. To receive invoices by ordinary post we are entitled to charge a reasonable service fee. For retrospective changes to invoices, which come about due to no fault of ours, we are entitled to charge a reasonable service fee.

9. Contract duration/cancellation/place of execution

9.1 Where not otherwise contractually agreed, the contracts are in place for an indefinite period of time.

9.2 The contract is cancellable without giving reasons by both parties at any time during a period of 30 days to the end of the month, but at the earliest on expiry of the minimum contract period stipulated in the contract. A cancellation can only be done in writing by letter, fax or via the secure online administrations area, provided this option is available.

9.3 We are also entitled to terminate the contractual relationship for good cause without notice. One important reason for termination would be in the case of two consecutive months that the customer did not pay a substantial part of the compensation owed. Another important reason, among others, can also be that the customer contravenes or ignores warnings about infringement of the requirements of section 6.

Another important reason, that can result in block or determination without notice, may be that the customer uses content, which affects the performance or the safety of the server.

9.4 The place of business for all services under this contract is Deva, Romania. Jurisdiction for all disputes arising from this contract is for the relevant local Gunzenhausen court if the customer is a contractor, a legal entity of public law, or public legal special fund.

The same applies if the customer does not have general jurisdiction in Romania or when the domicile or habitual residence at the time of the action is not known. We are also entitled to take legal action in the country of residence of the customer.

9.5 If the client intends to devolve his contractual rights to another person, he requires our consent. Devolution of contractual rights can only be done in writing by letter, fax or via the secure online administrations area, provided this option is available. When devolution is carried out by letter or fax, the previous and the new contract partners must both provide a signature.

10. Rules for reseller

10.1 The customer is entitled to third-party contractual rights using the internet presence provided to him by us. In this case, the client still remains the sole contractor. The client is committed to all the terms of the contract, arising from the terms and conditions as well as from our order forms, passing these on to all third parties and obliging them to comply with the terms. This also applies to the requirements in section 1.3 of these terms and conditions.

10.2 When changes need to be made regarding the participation acts of third parties, the customer is obligated to cooperate. The customer will provide us with the third party’s address and contact details on request. We are entitled, in the case of changes, to contact third parties directly to demand their written agreement to the changes.

10.3 The customer is responsible for all third party contractual violations. The customer is financially liable to us for all damages resulting from third party violations. In addition, we are exempt from liability for all claims which may arise from third parties and others.

11. Cancellation terms

11.1 Right of withdrawal

You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period will expire after fourteen days from the day of the conclusion of the contract. To exercise the right of withdrawal, you must inform us (Quanto SRL, Str. Mihai Eminescu, Bla.19, Ap.1, Romania, Telephone: +40 723 000060, email: office@quanto.ro) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post,Email or via the secure online administrations area). You may use the model withdrawal form, but it is not obligatory. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

11.2 Consequences of withdrawal

If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us) without undue delay and in any event not later than fourteen days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise, in any event, you will not
incur any fees as a result of such reimbursement.

If you requested to begin the performance of service during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated us your withdrawal from this contract, in comparison with the full coverage of the contract.

Termeni si conditii

1.1 Urmatorii termeni si conditii se aplica tuturor relatiilor de afaceri dintre client si Quanto SRL, urmatoarele numit „noi”. Legea care reglementeaza este ceea ce era valabil in cazul in care contractul a fost pus in aplicare.

1.2 Divergente, ceea ce client conflictuale sau suplimentare si conditii, chiar daca a recunoscut, nu fac parte din contract, cu exceptia cazului valabilitatea lor este de acord in mod expres asupra.

1.3 Diferitele domenii de nivel superior („sufixul domeniului”) sunt administrate de o multitudine de organizatii diferite, cea mai mare parte la nivel national.

 

2. incheierea contractului

2.1 Ofertele noastre sunt supuse de a modifica. Ne rezervam dreptul de a face modificari tehnice si de alta cadrul motiv.

2.3 Avem dreptul sa accepte oferta de contract (comanda), in termen de 5 zile lucratoare de la primirea. Suntem, de asemenea dreptul de a respinge ordinul dupa examinarea fiabilitatea clientului.

3. Domeniul de aplicare a serviciilor

3.1 In ceea ce priveste subiectul relatiei contractuale este in cauza cu privire la inregistrarea numelor de domenii, am efectueze procurarea numai domeniul dorit. Pentru alocarea efectiva a numelui de domeniu, clientul poate astepta doar daca acest lucru este confirmat de catre noi. Noi nu avem nici o influenta asupra alocarii din domeniul. Prin urmare, o raspundere si garantie pentru alocarea efectiva a numelor de domenii comandate este exclusa.

3.2 Va garantam o medie anuala de disponibilitatea retelei 99% pentru infrastructura centrului calculatorul nostru. In cazul in care securitatea retelei de alimentare cu energie sau mentinerea integritatii retelei este in pericol, putem restrictiona temporar accesul la serviciul dupa cum este necesar.

3.3 Serviciile oferite sunt cele valabile la data ordinului, pe baza informatiilor oferite, formularul de comanda si ofertele speciale lunare aplicabile.

3.4 in cazul in care clientul doreste sa fie inregistrata cu motoarele de cautare (motoare de cautare on-line de continut de pe Internet), noi suntem responsabili pentru mediere numai. Operatorii de motoarele de cautare sunt singurii responsabili pentru data si ora admiterii la motorul de cautare.

3.5 limitari tehnice sunt reglementate de Politici System.

3.6 Servicii de suport tehnic nu sunt incluse in ofertele. Daca este necesar sau se doreste utilizatorul va fi perceput separat. Preturile eficiente sunt disponibile in orice moment, la http://www.quanto.ro.

Integritatea datelor 4.

4.1 in cazul in care datele sunt transmise la noi, clientul este de rezerva a datelor lor in mod regulat. Serverul va fi sustinuta in mod regulat de noi, atunci cand acest lucru este parte a ofertei. in cazul pierderii de date, clientul trebuie sa transfere date respective la noi din nou gratuit.

4.2 Clientul este obligat sa efectueze o copie de rezerva completa a datelor inainte de face orice modificari.

4.3 Clientul va primi un ID de utilizator si parola din motive de securitate. Acest lucru trebuie sa ramana confidentiale. Clientul va fi tras la raspundere pentru orice malpraxis rezultate din utilizarea neautorizata a parolei. in cazul in care clientul devine constient de faptul ca terte parti neautorizate stiti parola, trebuie sa ne informati fara intarziere. in cazul in care clientul este in culpa pentru terte parti abuz parola, clientul va fi responsabil pentru toate taxele de utilizator si daune. in cazurile suspecte clientul este posibilitatea de a solicita o noua parola, pe care ne-am apoi trimite la clienti.

5. Confidentialitate

5.1 Datele personale ale clientilor vor fi colectate si utilizate numai, in cazul in care sunt necesare pentru crearea, amenajarea de continut sau modificarea relatiei contractuale. Clientul este obligat sa actualizeze aceste date in zona sa administratiile on-line.

Adresa de email 5.2 Clientul va fi folosita numai pentru informatii privind comenzi, facturi si – cu conditia ca clientul nu are obiectii – pentru customer, precum si pentru newsletter-ul nostru, in cazul in care clientul doreste acest lucru.

5.3 Noi nu dau nici o informatie cu caracter personal client catre terti, cu exceptia partenerii nostri de service, in masura in care acestea sunt necesare pentru a determina remuneratia si solutionarea cu clientul.

5.4 Clientul are dreptul la informare si dreptul de a modifica, de a suspenda sau de a sterge informatiile sale salvate. Daca conflictele text eliminat cu o obligatie legala sau contractuala de a salva informatiile, sau alte motive de drept, informatiile vor fi facute inaccesibile.

6. Continutul Publicat

6.1 Este responsabilitatea clientului de a identifica continutul Internet ca atare sau ca un continut terta parte. Numele si adresa completa a clientului trebuie sa fie prezent. Obligatii suplimentare pot rezulta din prevederile Legii de Telecomunicatii ACT si teleservicii. Clientul este obligat sa examineze aceste prevederi si sa se conformeze acestora.

6.2 Clientul se obliga sa nu publice continut care ar putea incalca drepturile tertilor sau altfel incalca legea. Plasarea erotic, pornografic, materiale extremiste sau material care nu sunt considerate de bun gust nu este permisa. Avem dreptul de a bloca accesul la contul oricarui client care incalca aceasta.

Acelasi lucru se aplica in cazul in care clientul publica continut care este capabil sa incalcarea drepturilor indivizilor sau grupurilor de persoane, sau care insulte sau denigreaza pe acesti oameni. Acest lucru se aplica chiar si fara o cerere legala actuale. Noi nu sunt obligati sa revizuiasca continutul clientilor nostri.

7. Raspunderea

in plus, clientul este de acord sa ne elibereze de toate pretentiile unor terti – indiferent de ce fel – care ar putea rezulta din continutul de pe Internet ilegal. Obligatia de scutire include o responsabilitate pentru toate cheltuielile de judecata de aparare (de exemplu, instanta de judecata si onorariile avocatilor).

8. Conditii de plata

8.1 preturile actuale valabile sunt accesibile in orice moment la http://www.quanto.ro.

8.2 In functie de acordul contractual, un cont lunar, trimestrial sau anual vor fi emise. Platile lunare sunt efectuate exclusiv prin emiterea unei autorizatii de debit. Toate celelalte plati se efectueaza prin emiterea unei facturi. Plata se face imediat dupa primirea facturii.

in cazul in care clientul este o / utilizator final de consum, valoarea de dobanda perceputa va fi de 5 puncte procentuale peste rata de baza. in cazul in care clientul este un antreprenor / de afaceri, dobanda perceputa va fi de 8 puncte procentuale peste rata de baza.

8.4 Suntem, de asemenea dreptul, in cazul platilor implicit, pentru a bloca prezenta pe internet a clientului si pentru a bloca toate celelalte functii.

8.5 Acceptarea controalelor este doar pentru procesarea.

8.6 Facturile sunt trimise prin e-mail ca atasamente, la cerere, cu semnatura calificata. Pentru a primi facturi prin posta obisnuita avem dreptul de a percepe o taxa de serviciu rezonabil. Pentru modificarile retroactive facturi, care vin pe cale cauza nu din vina noastra, avem dreptul de a percepe o taxa de serviciu rezonabil.

9. Durata contractului / anularea / loc de executie

9.1 In cazul in care nu sa convenit altfel prin contract, contractele sunt in vigoare pentru o perioada nedeterminata de timp.

9.2 Contractul este irevocabila, fara a da motive de ambele parti la orice moment pe parcursul unei perioade de 30 de zile pana la sfarsitul lunii, dar cel mai devreme la expirarea perioadei minima a contractului stipulat in contract. Un anulare se poate face numai in scris, prin scrisoare, fax sau prin zona securizata administratiilor on-line, cu conditia ca aceasta optiune este disponibila.

9.3 De asemenea, dreptul de a rezilia relatia contractuala din motive bine fara notificare. Un motiv important pentru terminarea ar fi in cazul a doua luni consecutive care clientul nu au platit o parte substantiala a compensatiei datorate. Un alt motiv important, printre altele, pot fi, de asemenea, ca clientul contravine sau ignora avertismentele despre o incalcare a cerintelor de la punctul 6.

Un alt motiv important, care poate duce la bloc sau de determinare fara notificare, poate fi faptul ca clientul utilizeaza continut, care afecteaza performanta sau siguranta serverului.

9.4 Locul de afaceri pentru toate serviciile in cadrul acestui contract este Deva, Romania. Competenta pentru toate litigiile care decurg din acest contract este de instanta locala relevant Gunzenhausen cazul in care clientul este un antreprenor, persoana juridica de drept public, sau un fond special publice legal.

Acelasi lucru se aplica in cazul in care clientul nu are competenta generala in Romania sau in cazul in care domiciliul sau resedinta obisnuita in momentul actiunii nu este cunoscuta. Suntem, de asemenea dreptul de a actiona in justitie in tara de resedinta a clientului.

9.5 In cazul in care clientul doreste sa transfere drepturile sale contractuale unei alte persoane, el necesita acordul nostru. Descentralizare a drepturilor contractuale se poate face numai in scris, prin scrisoare, fax sau prin zona securizata administratiilor on-line, cu conditia ca aceasta optiune este disponibila. Cand descentralizarea se realizeaza prin scrisoare sau fax, anterior si noii parteneri contractuali trebuie sa furnizeze atat o semnatura.

10. Reguli pentru reseller

10.1 Clientul are dreptul de a drepturilor contractuale tertilor folosind prezenta pe internet oferit sa-l catre noi. in acest caz, clientul ramane singurul contractant. Clientul se angajeaza la toate clauzele contractului, rezulta din termenii si conditiile, precum si din formele noastre de comanda, trecand acestea la toate partile terte si sa le oblige sa respecte termenii. Acest lucru este valabil si pentru cerintele de la sectiunea 1.3 a acestor termeni si conditii.

10.2 Atunci cand modificarile trebuie sa fie facute in ceea ce priveste actele de participare ale tertilor, clientul este obligat sa coopereze. Clientul ne va oferi cu adresa si datele de contact al treilea partidului la cerere. Avem dreptul, in cazul modificarilor, de a contacta direct tertilor de a cere acordul lor scris la schimbarile.

10.3 Clientul este responsabil pentru toate incalcarile contractuale tertilor. Clientul este obligat financiar la noi pentru toate daunele rezultate din incalcarea terti. in plus, suntem scutiti de raspunderea pentru toate cererile care pot aparea de la terti si altele.

11. Termeni de anulare

11.1 Dreptul de retragere

Aveti dreptul de a se retrage din prezentul contract in termen de 14 zile, fara a da nici un motiv. Perioada de retragere expira dupa paisprezece zile de la data incheierii contractului. Pentru a-si exercita dreptul de retragere, trebuie sa ne informati (Quanto SRL, Str Mihai Eminescu, Bla.19, Ap.1, Romania, Telefon:. 40 723 000060, e-mail: office@quanto.ro) de decizia dumneavoastra de a se retrage din acest contract printr-o declaratie neechivoca (de exemplu, o scrisoare trimisa prin posta, e-mail sau prin zona securizata administratiilor on-line). Aveti dreptul sa utilizati formularul de retragere de model, dar nu este obligatoriu. Pentru a respecta termenul-limita de retragere, este suficient sa trimiteti comunicarea privind exercitarea dreptului de retragere inainte de expirarea perioadei de retragere.

11.2 Consecintele retragerii

Daca va retrage din prezentul contract, vom rambursa sa va toate platile primite de la tine, inclusiv costurile de livrare (cu exceptia costurilor suplimentare rezultate din alegerea unui tip de livrare decat cel mai ieftin tip de livrare standard oferit de noi), fara intarziere nejustificata si, in orice caz, nu mai tarziu de paisprezece zile de la data la care suntem informati cu privire la decizia de a se retrage din prezentul contract. Vom efectua aceasta rambursare folosind aceleasi mijloace de plata pe masura ce folosita pentru tranzactia initiala, daca nu ati fost de acord in mod expres altfel, in orice caz, nu veti
suporta orice taxe ca urmare a unei astfel de rambursare.
